Welcome to InWorkflo. These Terms of Service ("Terms") govern your use of our website, services, and applications, including our WhatsApp Business API integration, AI-powered lead automation, and subscription services.

By accessing or using our services, you agree to these Terms and our Privacy Policy.

1. Service Description

InWorkflo provides AI-powered lead automation, CRM integrations, email outreach tools, and communication tools for businesses. Our services utilise third-party APIs (including Meta's WhatsApp Business API, OpenRouter, and Google Workspace) to facilitate automated messaging, lead qualification, and data processing.

2. Account Responsibilities

• You are responsible for maintaining the security of your account credentials (client ID and password).
• You must comply with all applicable laws and third-party policies, specifically Meta's WhatsApp Business Policy and Paystack's terms.
• You agree not to use our services to send spam, unsolicited messages, or unlawful content.
• You are responsible for the accuracy of all data you upload, including lead contact information.
• You must not share, resell, or sublicense your InWorkflo account access.

3. Anti-Spam Policy

You agree to comply with the CAN-SPAM Act, the Nigeria Data Protection Act (NDPA) 2023, and all equivalent anti-spam legislation applicable in your jurisdiction. Specifically:

• You must not use our email outreach tools to send unsolicited promotional emails to recipients who have not consented.
• All automated emails sent through our platform must include a valid physical postal address and a clear, functioning unsubscribe mechanism.
• You must only import and outreach to leads who have a legitimate business relationship with you or have opted in to receive communications.
• Violation of this anti-spam policy may result in immediate account suspension or termination without refund.

4. Payments and Billing

All payments are processed securely in Nigerian Naira (NGN) via Paystack. By subscribing to a paid plan, you agree to the following:

• Subscriptions are billed automatically according to your chosen plan (monthly or annual).
• Annual subscriptions receive a 20% discount.
• Payments are non-refundable unless otherwise required by applicable Nigerian law.
• You may cancel your subscription at any time via the dashboard. Cancellation takes effect at the end of the current billing period.
• If payment fails, your account may be marked as "past due" and services may be suspended until payment is resolved.
• InWorkflo reserves the right to change pricing with 30 days' advance notice.

5. Usage Limits

Each subscription plan includes specific limits on leads (meetings booked) and email outreach per billing period. These limits are enforced automatically. When you reach your limit, you must upgrade your plan or wait until the next billing period.

6. Facebook Login & WhatsApp Integration

By using our Facebook Login features, you authorise InWorkflo to access specific permissions granted via the Meta App Dashboard. You can revoke these permissions at any time via your Facebook settings.

7. Intellectual Property

All content, features, and functionality of the InWorkflo platform (including design, code, branding, and AI models) are owned by InWorkflo and are protected by intellectual property laws. You retain ownership of your own data uploaded to the platform.

8. Acceptable Use

You agree not to:

• Use the service for any illegal or unauthorised purpose.
• Attempt to reverse-engineer, decompile, or access the source code of our platform.
• Overload, disrupt, or interfere with the service infrastructure.
• Use the service to harass, abuse, or harm any person.
• Upload malicious content, viruses, or harmful code.

9. Limitation of Liability

InWorkflo shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the services, any third-party API outages, or interruptions beyond our control. Our total aggregate liability shall not exceed the total amount paid by you to InWorkflo in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless InWorkflo, its officers, employees, and agents from and against any claims, damages, losses, fines, or expenses (including legal fees) arising from:

• Your violation of these Terms.
• Your violation of anti-spam laws or data protection regulations.
• Your violation of Meta's WhatsApp Business policies.
• Any misuse of the platform by you or users authorised under your account.

11. Data Protection

Our collection and use of personal data is governed by our Privacy Policy, which forms part of these Terms. By using our services, you acknowledge and agree to the data practices described therein, in compliance with the NDPA 2023.

12. Service Modifications & Termination

We reserve the right to modify, suspend, or discontinue the service at any time with reasonable notice. We may terminate your access immediately if you violate these Terms, particularly the anti-spam policy or acceptable use provisions.

13. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the Nigerian courts. The parties agree to attempt amicable resolution before pursuing formal legal action.

14. Changes to These Terms

We may update these Terms from time to time. Changes will be posted on this page with an updated effective date. Continued use of our services after changes constitutes acceptance of the updated Terms. Material changes will be communicated via email where possible.
